These Terms of Service govern access to and use of Ledger5|5, also referred to as “Ledger,” a personal financial recordkeeping application operated by Diamond Piper Software LLC.
By creating an account, accessing Ledger5|5, or using any part of the service, you agree to these Terms of Service and acknowledge the Ledger5|5 Privacy Policy. If you do not agree, do not create an account or use the service.
1. The Ledger5|5 Service
Ledger5|5 allows users to manually enter, import, organize, search, reconcile, back up, restore, and export personal financial records.
Ledger5|5 is a personal recordkeeping tool. It is not:
- A bank or financial institution.
- A payment processor or money-transmission service.
- A credit-reporting service.
- An accounting, tax, investment, insurance, or legal service.
- A substitute for statements or records provided by a financial institution.
- A professional financial adviser.
Ledger5|5 does not automatically connect to financial institutions and does not require users to provide online banking usernames or passwords.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to create or use a Ledger5|5 account.
By creating an account, you represent that you meet these eligibility requirements.
Ledger5|5 is not intended for children or minors.
3. Account Registration
You agree to provide accurate and current registration information and to update that information when reasonably necessary.
You are responsible for:
- Maintaining the confidentiality of your password.
- Using a strong and unique password.
- Completing required two-factor authentication for super administrator accounts and protecting any authenticator device or recovery codes associated with your account.
- Securing the email account associated with Ledger5|5.
- Restricting access to devices on which you use Ledger5|5.
- Signing out when using a shared or public device.
- All activity occurring through your account, except to the extent caused by Ledger5|5’s own unlawful conduct.
You must promptly notify Diamond Piper Software LLC at contact@diamondpiper.com if you believe your account has been accessed without authorization.
You may not share an account with another person unless Ledger5|5 specifically provides a feature that permits shared access.
Two-factor authentication may be required for certain account roles and may be offered as an optional security feature for other users. Recovery codes are credentials and must be protected in the same manner as a password.
4. Information You Must Not Enter
You must not enter, upload, import, or store the following information in Ledger5|5:
- Bank or financial-institution login credentials.
- Social Security numbers.
- Complete debit-card or credit-card numbers.
- Card security codes.
- Personal identification numbers.
- One-time authentication codes.
- Routing numbers.
- Complete financial-account numbers.
- Passport numbers.
- Driver’s-license numbers.
- Government identification numbers.
- Information you do not have the legal right to possess or process.
This restriction applies to every part of Ledger5|5, including account names, payees, categories, references, memos, transaction descriptions, CSV files, backup files, and imported information.
Optional last-four account digits may be entered to help distinguish similar accounts. Complete account numbers must not be entered.
You are responsible for reviewing files before importing or uploading them and removing unnecessary or prohibited information.
5. Your Financial Records
You retain ownership of financial records and other content you enter, upload, import, or create through Ledger5|5.
You grant Diamond Piper Software LLC a limited permission to host, copy, process, display, back up, restore, transmit, and otherwise handle your information only as reasonably necessary to:
- Operate Ledger5|5.
- Provide requested features.
- Maintain and secure the service.
- Perform backups and recovery.
- Respond to support requests.
- Investigate suspected misuse or security incidents.
- Comply with applicable law.
- Enforce these Terms of Service.
This permission ends when the information is deleted from active systems, subject to reasonable backup retention, security records, legal obligations, and the other retention provisions described in the Privacy Policy.
6. Accuracy and User Responsibility
Ledger5|5 may perform calculations, imports, exports, searches, balance adjustments, reports, schedules, budgets, reconciliations, and other recordkeeping functions.
You are responsible for reviewing and verifying all information produced or displayed through Ledger5|5.
You should compare important balances, transactions, reconciliations, reports, and exports against statements and records provided by your financial institutions or other authoritative sources.
Ledger5|5 does not guarantee that:
- Imported transactions will be categorized correctly.
- Imported columns or dates will be mapped correctly.
- Duplicate transactions will always be detected.
- Calculations will always be complete or error-free.
- Reconciliation results will match a financial institution’s records.
- Exported information will be accepted by another service.
- User-entered information is accurate.
- Records will satisfy tax, accounting, regulatory, court, or professional requirements.
You remain responsible for all financial, tax, accounting, legal, and business decisions made using information from Ledger5|5.
7. No Professional Advice
Ledger5|5 does not provide financial, banking, accounting, tax, legal, investment, credit, insurance, or other professional advice.
Information presented by Ledger5|5 is provided for personal recordkeeping purposes only.
You should consult an appropriately qualified professional before making a decision requiring professional advice.
8. Trials, Subscriptions, and Complimentary Access
New Ledger5|5 customer accounts may begin with a six-month trial. The standard trial allows up to two financial accounts and up to forty transactions in each financial account.
When a trial expires, Ledger5|5 may place the account into read-only status. Existing records may remain available for viewing, searching, backup, and export, but new financial records and changes to existing financial data may be restricted until full access is restored.
The standard Ledger5|5 subscription is currently $12 per year, billed annually through the payment processor shown at checkout. Ledger5|5 may change pricing prospectively, but a price change will be disclosed before it applies to a future purchase or renewal when required.
Subscribers may manage or cancel their subscription through the available billing-management tools. Cancellation ordinarily takes effect at the end of the period already paid for, and access continues through that paid-through date. Except where required by law or expressly stated otherwise, cancellation does not create a right to a prorated refund for the unused portion of a paid period.
Diamond Piper Software LLC may grant complimentary full access without requiring payment. Super Administrator accounts receive full access automatically and do not require a subscription.
An expired trial account may become eligible for permanent deletion one year after the trial began. An expired paid subscription account may become eligible for permanent deletion one year after paid access ends. Ledger5|5 may provide advance notices, but you remain responsible for maintaining independent copies of records you wish to retain.
9. Acceptable Use
You may use Ledger5|5 only for lawful personal recordkeeping purposes.
You may not:
- Access another person’s account without authorization.
- Attempt to bypass authentication, permissions, account limits, or security controls.
- Probe, scan, or test the vulnerability of Ledger5|5 without written authorization.
- Introduce malware, malicious code, automated attacks, or harmful files.
- Use scripts, bots, scraping tools, or automated systems that place an unreasonable burden on the service.
- Interfere with the operation, security, availability, or integrity of Ledger5|5.
- Reverse engineer or attempt to obtain nonpublic source code, except where applicable law expressly permits it.
- Use Ledger5|5 to commit fraud, identity theft, money laundering, harassment, or another unlawful act.
- Upload content that infringes the rights of another person.
- Misrepresent your identity or impersonate another person.
- Resell, sublicense, or commercially exploit access to Ledger5|5 without written permission.
- Use Ledger5|5 in a manner that could expose Diamond Piper Software LLC, its providers, or other users to liability or harm.
10. Intellectual Property
Ledger5|5, including its software, source code, design, layout, branding, documentation, graphics, and other service materials, is owned by Diamond Piper Software LLC or its licensors and is protected by applicable intellectual-property laws.
These Terms give you a limited, personal, nonexclusive, nontransferable, and revocable right to use Ledger5|5 in accordance with these Terms.
These Terms do not transfer ownership of Ledger5|5 or its underlying technology to you.
You may not copy, distribute, sell, license, modify, or create derivative works from Ledger5|5 except with written authorization or as expressly permitted by applicable law.
11. Feedback
You may voluntarily provide suggestions, ideas, bug reports, or other feedback.
You grant Diamond Piper Software LLC permission to use that feedback without restriction or compensation, provided that doing so does not grant permission to publicly identify you or disclose your private financial records.
12. Privacy
The Ledger5|5 Privacy Policy explains how information is collected, used, processed, protected, retained, and disclosed.
The Privacy Policy is incorporated into these Terms by reference.
By using Ledger5|5, you acknowledge that information will be processed as described in the Privacy Policy.
13. Service Providers and Third-Party Services
Ledger5|5 may rely on third-party providers for functions such as:
- Website and database hosting.
- Network delivery and security.
- Email delivery.
- Data storage and backups.
- Error diagnosis and monitoring.
- Payment and subscription processing.
Ledger5|5 may also contain links to websites or services operated by third parties.
Diamond Piper Software LLC does not control third-party websites or services and is not responsible for their independent content, availability, security, privacy practices, or terms.
Your use of a third-party service may be governed by that provider’s own agreements and policies.
14. Backups and Independent Copies
Ledger5|5 may maintain routine backups for disaster recovery and service restoration.
Backups are not guaranteed to:
- Include every recent change.
- Restore every account or transaction.
- Prevent all data loss.
- Recover information deleted by a user.
- Remain available for a particular period.
- Correct corrupted or inaccurate information.
You are responsible for periodically exporting your records or downloading personal backups and maintaining an independent copy in a secure location.
Ledger5|5 should not be used as the only copy of information that would be difficult, expensive, or impossible to replace.
15. Availability, Maintenance, and Changes
Ledger5|5 may occasionally be unavailable because of maintenance, updates, security work, hosting problems, software errors, internet failures, provider outages, attacks, events beyond reasonable control, or other operational issues.
Diamond Piper Software LLC may modify, add, remove, limit, suspend, or discontinue features when reasonably necessary.
When practical, reasonable notice may be provided before a material discontinuation. Emergency security or operational changes may be made without advance notice.
Diamond Piper Software LLC is not obligated to continue offering Ledger5|5 indefinitely.
16. Account Suspension and Termination
Diamond Piper Software LLC may restrict, suspend, or terminate an account when reasonably believed necessary to:
- Protect Ledger5|5 or its users.
- Investigate unauthorized access or suspected misuse.
- Respond to a security incident.
- Prevent fraud or unlawful activity.
- Enforce these Terms.
- Comply with legal obligations.
- Address prolonged inactivity.
- Discontinue Ledger5|5.
When reasonably practical and legally permitted, notice may be provided and an opportunity to export available records may be offered.
Immediate suspension or termination may occur when an account presents a security risk, involves unlawful activity, threatens another person, interferes with the service, or materially violates these Terms.
You may stop using Ledger5|5 at any time and may request account deletion through available account tools or by contacting contact@diamondpiper.com.
17. Data Following Termination
Following account termination or deletion:
- Active account access may end immediately.
- Information may be deleted from active systems.
- Residual copies may remain temporarily in routine backups.
- Security, audit, dispute, and legal-compliance records may be retained when reasonably necessary.
- Deleted records may not be recoverable.
You are responsible for exporting any records you wish to retain before deleting your account.
18. Disclaimer of Warranties
To the maximum extent permitted by law, Ledger5|5 is provided “as is” and “as available.”
Diamond Piper Software LLC disclaims all express, implied, and statutory warranties, including warranties of:
- Merchantability.
- Fitness for a particular purpose.
- Title.
- Noninfringement.
- Accuracy.
- Availability.
- Security.
- Reliability.
- Compatibility.
- Uninterrupted or error-free operation.
Diamond Piper Software LLC does not warrant that Ledger5|5 will meet every requirement, prevent every security incident, preserve every record, or operate without interruption, delay, error, corruption, or data loss.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.
19. Limitation of Liability
To the maximum extent permitted by law, Diamond Piper Software LLC and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to Ledger5|5.
This includes damages involving:
- Lost or corrupted records.
- Lost profits, revenue, savings, or opportunities.
- Incorrect balances, calculations, imports, exports, reports, or reconciliations.
- Decisions made using Ledger5|5 information.
- Unauthorized account access.
- Service interruption or unavailability.
- Inability to access or restore information.
- Conduct of another user or third party.
To the maximum extent permitted by law, the total liability of Diamond Piper Software LLC arising from or related to Ledger5|5 will not exceed the greater of:
- The amount you paid directly to Diamond Piper Software LLC for Ledger5|5 during the 12 months preceding the event giving rise to the claim; or
- $100.
These limitations apply regardless of the legal theory asserted and even when a remedy fails of its essential purpose.
These limitations do not apply to liability that cannot lawfully be excluded or limited.
20. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Diamond Piper Software LLC and its owners, officers, employees, contractors, and service providers from claims, damages, losses, liabilities, judgments, penalties, and reasonable expenses arising from:
- Your unlawful use of Ledger5|5.
- Your material violation of these Terms.
- Information you enter or upload without legal authority.
- Your infringement of another person’s rights.
- Your attempt to compromise or interfere with Ledger5|5.
- Your fraudulent, abusive, or malicious conduct.
This section does not require you to indemnify a party for that party’s own unlawful conduct.
21. Governing Law and Venue
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.
Except where applicable law requires otherwise, a legal proceeding arising from or related to Ledger5|5 or these Terms must be brought in a state or federal court having jurisdiction in or over Rock County, Wisconsin.
Before filing a lawsuit, the parties agree to make a reasonable good-faith effort to resolve the dispute informally by providing written notice describing the dispute and requested resolution.
Nothing in this section prevents either party from seeking emergency injunctive relief or using an eligible small-claims procedure.
22. Changes to These Terms
Diamond Piper Software LLC may update these Terms when Ledger5|5’s features, business operations, security practices, or legal obligations change.
The effective date at the top will be updated when changes are made.
Material changes may also be communicated through Ledger5|5 or by email when reasonably appropriate.
Continued use after revised Terms take effect constitutes acceptance of the revised Terms. When legally required or when changes materially alter user obligations, renewed affirmative acceptance may be requested.
23. Electronic Communications
You agree that account, security, legal, and service communications may be provided electronically through:
- Email.
- Notices displayed within Ledger5|5.
- Notices posted on the Ledger5|5 website.
You are responsible for maintaining a valid email address and reviewing communications related to your account.
24. General Provisions
Entire agreement
These Terms and the Privacy Policy constitute the entire agreement concerning your use of Ledger5|5, except for any additional terms you expressly accept for a particular paid feature or service.
Severability
If a provision is found invalid or unenforceable, the remaining provisions will remain in effect. The invalid provision will be enforced to the maximum extent permitted by law or replaced with a valid provision that most closely reflects its purpose.
No waiver
Failure to enforce a provision does not waive the right to enforce it later.
Assignment
You may not transfer your account or rights under these Terms without written permission.
Diamond Piper Software LLC may transfer these Terms as part of a reorganization, financing, sale, merger, acquisition, or transfer of Ledger5|5 or related business assets.

Section headings are provided for convenience and do not limit the meaning of these Terms.
